Terms of Service

By accessing or using the Spawn platform, website, APIs, or any related services (collectively, the “Service”) provided by Spawn Labs, Inc. (“Spawn,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access the Service. By using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Spawn is an AI agent platform that enables users to create, configure, and run autonomous AI agents. The Service includes:

• AI agent creation, execution, and management
• Sandboxed execution environments for code generation and execution
• Skills and workflow automation tools
• Artifact generation — documents, presentations, code, data
• Data source integrations and third-party service connections
• Team collaboration and workspace management
• APIs and developer tools

We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

To use certain features you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your login credentials secure and confidential
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized use

You must be at least 18 years of age. We may refuse service, terminate accounts, or remove content at our sole discretion.

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Generate, distribute, or store malicious code or harmful content
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to build a competing product
• Exceed rate limits or abuse API access

Our Property. The Service, its content, features, and functionality are owned by Spawn Labs, Inc. and protected by international intellectual property laws.

Your Content. You retain ownership of content you submit. By submitting content you grant us a worldwide, non-exclusive, royalty-free license to use it solely for operating the Service.

Generated Content. Content generated by AI agents is owned by you, subject to applicable third-party licenses and AI-generated-work limitations under applicable law.

Certain features require payment. By selecting a paid plan or purchasing credits:

• All fees are quoted in US dollars
• Subscriptions are billed in advance on a recurring basis
• Credit purchases are non-refundable unless required by law
• We may change pricing with 30 days' advance notice
• Failure to pay may result in account suspension

You may terminate your account at any time. We may terminate or suspend access immediately for breach of these Terms. Upon termination, provisions that should survive (ownership, disclaimers, indemnity, liability limits) shall survive.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. We do not warrant that the Service will be uninterrupted or error-free, or that AI-generated outputs will be accurate, complete, or suitable for any purpose.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPAWN LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. Our total liability shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100.

You agree to defend, indemnify, and hold harmless Spawn Labs and its officers, directors, employees, and agents from claims arising from: (a) your use of the Service; (b) violation of these Terms; (c) violation of third-party rights; or (d) content generated through your use.

These Terms are governed by the laws of the State of Delaware, United States. Disputes shall be resolved exclusively in the state or federal courts located in Delaware.

We may update these Terms at any time. Material changes will be posted here with an updated date. Continued use constitutes acceptance of the new Terms.
